Terms and Conditions
GENERAL TERMS
The above prices are supplied under the following:
1. Sciencetech does not accept any terms and conditions except these stated here unless explicitly communicated in a confirmed, signed document.
2. Sciencetech has a minimum required order value of $750.00 USD (previous customers exempt).
3. Sciencetech assesses all incoming purchase orders and reserves the right to reject them or advise the customer of administrative/financial changes.
4. Sciencetech does not accept any penalty clauses on late shipment/arrival of orders.
5. If particular certification or adherence to specific regulations (including UL, CSA, CE, etc.) is required, please include these requirements in the purchase order (additional cost applies).
6. Sciencetech is not liable for any consequences resulting from the use of Sciencetech instruments. Under all circumstances maximum responsibility of Sciencetech is limited to the replacement of the instrument or unit.
7. Our sales order and referenced documents contain the entire agreement between Sciencetech and the buyer. Any requirements that are different from our standard products as described in our product literature at the time of sale must be stated on the quotation (either explicitly or by reference to an attached document). The buyer is responsible for ensuring that these requirements are on the quotation at the time that their purchase order is placed. Requirements not listed or referenced on the final quotation will not be honored.
8. All Purchase Orders issued to Sciencetech shall be interpreted, construed, and governed by the laws of the Province of Ontario, Canada. Any disputes arising from these orders shall be subject to the exclusive jurisdiction of the courts of Ontario.
PAYMENT
1. All orders require the balance of the order paid and a valid purchase order submitted to Sciencetech before production can begin. If alternative payment terms have been established in writing between the customer and Sciencetech, these terms must be fulfilled before an order begins production.
2. If a letter of credit is used as the method of payment, production of the order will not begin until a valid copy of the letter of credit is in Sciencetech’s possession.
3. A late penalty of 1% per month will be added to any overdue balances.
TARIFFS AND IMPORT DUTIES
The Importer of Record shall be solely responsible for the payment of all tariffs, customs duties, import taxes, and any other charges or fees assessed by the destination country in connection with the importation of the goods. Sciencetech Inc, as the exporter, shall not be held liable for any such costs, nor shall it assume any responsibility for the payment or reimbursement of these charges under any circumstances.
TAXES AND FEES
1. The buyer shall pay all transportation, handling, insurance, taxes, duties, tariffs, license fees, import, export, brokerage and customs fees and any other charges related to the products or services purchased. Canada has no export taxes to international destinations, but the customer may be subject to local import duties and associated brokerage fees in their own country.
2. If claiming tax exemption, the buyer must provide Sciencetech with valid tax exemption certificates.
PACKAGING
1. Sciencetech levies a packing and handling fee to cover the cost of packing the order. This fee is in addition to the shipping cost and will be levied regardless if the customer makes their own shipping arrangements.
SHIPPING
1. Lead time is counted from the date of the order confirmation.
2. Delivery lead time may vary subject to the availability of parts from vendors.
3. All products will be shipped EXW (Ex Works) at Sciencetech's shipping dock. Unless both parties agree otherwise in writing. Title to the products shall transfer from Sciencetech to the buyer upon delivery of the products to the carrier, and the buyer shall take all risk of loss or damage.
4. If a customer accepts partial delivery, Sciencetech will individually invoice for partial payment of that delivery according to the current applicable payment terms.Due to extra delivery, shipping charges will appear separately on each invoice, corresponding to the increased cost of shipping.
5. In no event shall Sciencetech be liable for any delay in delivery (provided that Sciencetech delivers the products to the carrier as provided above in a timely manner), or assume any liability in connection with shipment, nor shall the carrier be deemed an agent of Sciencetech.
CANCELLATIONS
1. Cancellation of a standard product order will result in a restocking fee of 30% of the order’s value, less shipping, handling, and extended warranty charges.
CUSTOM OR R&D ORDERS
1. Complex orders involving custom development and systems integration may require a technical review with customer approval before manufacturing. Such orders do not begin production until after the technical review is performed and all necessary customer authorization is obtained.
2. Best effort results for all projects requiring research and development.
3. There are no refunds for custom made products.
4. For custom orders, customers may come at their own expense to witness and sign-off on free acceptance testing at our facilities before shipping in accordance with Sciencetech specified performance standards.
